1.INTRODUCTION
- 1.These terms and conditions - the terms - govern every contract made between Special Design Studio for the undertaking of work to any person, firm or company (- the client -).
- 2.The terms prevail over any written terms and conditions of the client.
- 3.Any variation to the terms must be agreed in writing by Scott Poulson of Special Design Studio.
- 4.All contracts between Special Design Studio and the client will be governed by English law and the parties agree to submit to the exclusive jurisdiction of the English courts.
2.PRICE AND PAYMENT
- 1.The client will pay Special Design Studio the fixed fee agreed in advance or the quoted fee plus additional hours where necessary - whichever is agreed at the time of instruction.
- 2.Special Design Studio may insist on part payment in advance of a project commencing, and the remaining amount upon completion.
- 3.Special Design Studio will invoice the client at 28 days if feedback is not received to progress the clients project.
- 4.Invoices from Special Design Studio to the client for supply of work or services will be issued on delivery of the project.
- 5.Invoices from Special Design Studio to the client should be paid within 30 days of invoice. Payment can be made by cheque or directly into Special Design Studio bank account on provision of bank details.
- 6.Special Design Studio reserves the right (without disclosing a reason) to demand payment for work on collection at any time.
- 7.The client will pay Special Design Studio any expenses incurred in connection with the recovery of monies outstanding (including legal costs on an indemnity basis).
3.ORDERING
- 1.Orders for work must be given in writing (this includes email) to Special Design Studio by the client.
- 2.Not withstanding clause 3.1, if Special Design Studio accepts a verbal order from the client Special Design Studio will not be held responsible for any mistakes (made by either party) arising from that verbal order.
- 3.Special Design Studio reserves the right to refuse to accept any order.
4.QUOTATIONS
- 1.All quotations given by Special Design Studio will be valid for 28 days from the date of quotation.
- 2.If the clients final order changes from the original specification made for the quotation, Special Design Studio reserves the right to vary the quotation.
5.TURNAROUND TIMES
- 1.Turnaround times which are quoted are normal target times only and Special Design Studio accepts no liability for failure to meet these times, but will use its best endeavours to do so.
6.PRINTING
- 1.Approval for printing must be given in writing (this includes email) to Special Design Studio by the client on receipt of a suitable proof prior to printing. The client is liable for re-printing costs as a result of any errors not picked up at this stage by the client.
7.COLOUR
- 1.We use the Pantone Matching System to determine colour selection across various surfaces. Where appropriate we will require sign-off by the client in regards to colour. However, printers insist on a 25% variation in colour as being ‘commercially acceptable’. We therefore cannot be responsible for the cost of reprints where the colour is deemed unacceptable if the correct colour was specified.
8.UNCOLLECTED WORK
- 1.If any items of work including prints and original files belonging to a client are not collected after 12 months of the requested work being done, Special Design Studio reserve the right to dispose of such material.
9.COPYRIGHT AND MORAL RIGHTS
- 1.Special Design Studio claims no copyright in material submitted to us for the purposes of fulfilling the clients instruction.
- 2.The client warrants that the client owns or controls all rights, has obtained all copyright, or has permissions, consents and waivers that as are now and hereafter required for all copying, processing, scanning, printing and manipulation to be undertaken by Special Design Studio.
- 3.The client also warrants that no copyright or moral rights will be infringed by Special Design Studio carrying out the requested work.
- 4.The client agrees to indemnify Special Design Studio against all losses, damages, claims or expenses which Special Design Studio may incur by virtue of any breach of the above warranties.
10.LIABILITY
- 1. The client must contact Special Design Studio concerning details of an invoice within 7 days of the date of the invoice.
- 2.Special Design Studio's liability to the client or any other party for the loss including theft, or destruction or damage to any materials provided by the client which are deposited with Special Design Studio for whatever reason;-
- *Will be limited to the replacement cost of the actual material and;
- *Special Design Studio will not be liable for the cost of reshooting or reprinting the material contained on the material and;
- *Special Design Studio will not be liable for any loss or damage to the client or any other party including loss of income and;
- *It is the clients responsibility to insure against such loss and damage.
- 3.Special Design Studio will not be liable for failing to complete any contract between Special Design Studio and the client due to circumstances beyond Special Design Studio control including loss of power supply, machine breakdown, loss of materials, fire, storm, flood, act of god, war, civil disturbance or terrorism
11.WEBSITE
- 1.Use and Access. By accessing or using the Special Design Studio website or the materials therein ("Site"), you agree to comply with the following terms and conditions.
- 2.Every user of this Site does so at their own risk. Special Design Studio makes no representations or warranties of any kind with respect to the Site and the use thereof, including the security of any data or information transmitted to the Site. Neither Special Design Studio nor any other party involved in the creation, production or delivery of this Site assumes or accepts any liability for any costs, losses, damages, etc. arising out of or in connection with the use and access to this Site, or with the failure of performance of this Site for any reason.
